Terms of Use

Version 0.9. Last updated 20 October 2026. Published by Cloud Hoppers FZE LLC.

These terms are an agreement between Cloud Hoppers FZE LLC ("HoppERP", "we") and the company that signs up ("you"). By creating an account or using HoppERP you accept them for your company.

1. The service

HoppERP is an online accounting service for travel and similar businesses: sales and purchase records, receipts, payments, refunds, expenses, banking, reports and documents, with optional WhatsApp and email delivery. We may improve, change or retire features, and will give notice of any change that removes a feature you rely on.

2. Accounts and users

  • Only an authorised person may sign up for your company. You are responsible for everything done under your company's logins.
  • Keep passwords private. Give each person their own login and the lowest role they need.
  • Tell us at once if a login is lost or misused.

3. Fees, renewal and suspension

  • Fees are the plan and price agreed with you in writing (an order form, email or invoice) and are charged from the start date stated there.
  • Fees are in the currency stated, exclude VAT unless said otherwise, and are due within the period on the invoice.
  • Third-party costs, such as WhatsApp conversation charges from Twilio and Meta, are not included unless the plan says so.
  • Plans renew for the billing period stated in the order form unless you cancel in the app or by written notice to support@cloudhopperss.com before the renewal date. We will state renewal charges and any material price change in the order form or in advance renewal notice.
  • Cancellation ordinarily takes effect at the end of the current paid period. Fees for a billing period already started are not refunded unless the order form or the law says otherwise.
  • If an invoice stays unpaid 14 days after its due date, we may suspend access after a written warning and a reasonable chance to pay, subject to applicable law. During suspension we will provide a reasonable way to export your records, subject to identity checks and legal restrictions.

4. Your data

  • Your accounting data belongs to you. You allow us to host, process and back it up only to provide the service, as set out in the Privacy Policy.
  • You must have the right to enter the data you upload, including your clients' and suppliers' details.
  • You can export your data at any time from the app.

5. Your responsibilities

  • You are responsible for the accuracy of the entries, tax codes, invoices and reports your company produces and for filing your own returns.
  • HoppERP is a tool. It is not accounting, tax or legal advice. Ask your accountant or tax advisor about VAT, e-invoicing and similar rules.
  • Check anything posted automatically, such as WhatsApp entries, before you rely on it. Use the approval steps provided.

6. Acceptable use

Do not misuse the service: no illegal activity, fake or misleading records, attempts to break security or access other companies' data, sending spam or unlawful messages by WhatsApp or email, or reselling the service without our written consent.

7. WhatsApp and email

WhatsApp messages run through Twilio and Meta and email through Resend. Their own terms and policies apply, including Meta's rules on message templates and opt-in. You are responsible for having your clients' permission to message them. We cannot guarantee delivery or the timing of third-party services.

8. Availability and backups

We aim to keep HoppERP available and take daily backups, but we do not promise uninterrupted service. We will tell you in advance about planned maintenance where we can. During the pilot, the service is provided "as is" and may change or pause.

9. Ownership

HoppERP, its software, design and documentation belong to Cloud Hoppers FZE LLC or its licensors. You receive a non-exclusive, non-transferable right to use it during your subscription. Feedback you give us may be used to improve the service.

10. Confidentiality

Each side keeps the other's non-public information confidential and uses it only for this agreement, unless the law requires disclosure.

11. Liability

  • We are not liable for indirect or consequential loss, lost profit or lost business, or for losses caused by wrong entries, late filings or tax decisions made using the service.
  • Our total liability for any claim is limited to the fees you paid in the 12 months before it, except where the law does not allow a limit, for example for fraud or intentional wrongdoing.

12. Ending the agreement

  • You may stop at any time by written notice. We may end or suspend the service for serious breach of these terms, with notice where possible.
  • What happens to your data and fees after ending is set out in section 20.

13. Changes

We may update these terms. We will give at least 30 days' notice of important changes by email or in the app. Continued use after that means you accept them.

14. Governing law

These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai have jurisdiction, unless the law gives you a right to go elsewhere.

15. Accounting records and audit trail

  • Posted accounting entries are not edited or deleted in normal use. Errors are corrected by reversal or adjustment entries, and posting, reversal and approval events are recorded in the audit log with the user and the time.
  • Your company's users can see their own company's history. We do not alter your posted records, except to restore them from a backup after a failure or when the law requires.

16. Data separation and security incidents

  • We use technical and organisational measures to keep each company's information separate from other companies'. Our authorised personnel may access customer data for support, security, service administration or legal compliance, on a need-to-know basis. We log security-sensitive and material accounting actions; not every routine system operation is logged.
  • If we become aware of a confirmed personal-data breach affecting your data, we will tell you without undue delay, share the material facts we have and later updates, and reasonably help with any notifications the law requires. Other security events are handled under our incident procedures.

17. Entries made through WhatsApp and automation

  • WhatsApp requests are handled according to the features and approval steps that are enabled for your company and described in your plan or the product documentation. Where the enabled workflow requires approval, an entry is not posted until that approval is completed. You are responsible for keeping your authorised users up to date, checking transaction details, and deciding who may enter and approve. We do not promise any approval or auto-posting feature that is not available and documented.
  • Any automatic reading of documents we add later (such as scanning bills) may contain errors. You must review the result before it is posted.

18. Electronic invoicing and changes in the law

HoppERP does not guarantee compliance with every present or future e-invoicing or tax-reporting requirement. A feature or provider connection for such a requirement is part of your plan only if it is expressly named in your plan or order form.

19. Third-party services

We rely on services from Microsoft Azure, Cloudflare, Twilio, Meta (WhatsApp) and Resend. If their terms, prices or availability change, we may change or replace them, and we will tell you if the change affects you.

20. Ending the agreement and deleting data

  • You can export your data at any time. After the agreement ends, we keep your data available for export for 30 days, then delete or anonymise it within a further 90 days, except where the law, a legal hold or a separately agreed retention service requires us to keep it longer.
  • Ending the agreement does not relieve you of your own duty to keep statutory records. Unpaid fees remain payable, together with any third-party charges for WhatsApp messages already sent.

21. Acceptance and authority

A person accepting these terms for a company confirms that they are authorised to bind that company. We record who accepted, for which company, when, which document versions, and by what method. When terms change materially, we ask for acceptance again. You must keep your authorised representatives up to date.

Data Processing Terms (schedule to the Terms)

These terms apply to the accounting data your company enters, where you are the controller and we are the processor.

  • Instructions: we process your personal data only on your documented instructions, including those given through the service and the agreement, unless the law requires otherwise. Where the law allows, we tell you before such legally required processing. We tell you if an instruction appears to breach data-protection law.
  • Confidentiality: our staff and contractors who can access the data are bound by confidentiality.
  • Sub-processors: you authorise the providers listed in Privacy Policy section 4. We give reasonable advance notice of material additions or replacements, and you may object on documented data-protection grounds. We bind sub-processors by written data-protection obligations suitable for their service and remain responsible for them as the law requires.
  • Security: encryption in transit, password hashing, role-based access, audit logging of defined sensitive actions, daily backups and separation between companies' data, as described in Privacy Policy section 7.
  • Processing details: the subject matter is hosted accounting and communication functions. Processing lasts for the subscription and the wind-down period in Terms section 20. It covers collecting, storing, retrieving, sending, analysing and deleting data, to provide, secure and support the service. The people concerned are your staff, clients, supplier contacts and others you record. The data is identifiers, contact details, financial records, messages and access logs, as listed in Privacy Policy section 2.
  • Assistance and incidents: taking account of the processing and the information we have, we reasonably help you answer data-subject requests, regulator enquiries, security incidents and impact assessments. We tell you without undue delay after we become aware of a confirmed personal-data breach affecting your data, give the relevant details we have, and update you as we learn more. Telling you does not admit liability.
  • International transfers: listed sub-processors may access, store or process your data outside the UAE. We apply the UAE cross-border transfer requirements and put suitable safeguards in place where the law requires them.
  • Return and deletion: as in Terms section 20, subject to lawful retention and our backup schedule. On ending we provide the agreed export and then delete or return personal data, unless the law requires it to be kept.
  • Compliance information and audit: on reasonable written request we provide information showing our compliance as a processor, including independent assurance where we have it. If the law gives you further audit rights and that information is not enough, we agree a proportionate audit, with confidentiality, security, business continuity and reasonable notice. Nothing here limits rights the law gives you.
  • Your responsibilities: you decide the purposes and lawful grounds for your accounting data, give the privacy notices required, manage who has access, and give us lawful instructions.
  • Help beyond standard exports: assistance beyond the standard export may carry an agreed fee, without limiting your legal rights.
